1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Unwall ("we," "us," or "our") governing your access to and use of the Unwall platform, including our website, dashboard, API, MCP server, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To use the Service, you must create an account using Google OAuth authentication. You are responsible for:

  • Maintaining the security of your account credentials and any API keys associated with your projects.
  • All activities that occur under your account, including transactions initiated by AI agents you have authorized.
  • Promptly notifying us of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that we reasonably believe are compromised or in violation of these Terms.

4. Description of Service

Unwall provides payment infrastructure for AI agents. Through the Service, you can:

  • Create project wallets that hold USDC stablecoins on the Base blockchain network.
  • Fund wallets via ACH bank transfer (through Stripe) or on-chain USDC deposits (through Circle Programmable Wallets).
  • Authorize AI agents to execute payments, including ACH transfers to merchants, on-chain USDC transfers, and x402 protocol API payments.
  • Monitor transactions, balances, and agent activity through the dashboard and API.

5. Financial Terms

5.1 USDC and Wallet Balances

Project wallets hold USDC, a stablecoin pegged to the US dollar and issued by Circle. Unwall does not issue, guarantee, or insure the value of USDC. Your wallet balance represents USDC held in a Circle Programmable Wallet on the Base blockchain. Your agent can only spend funds that have been deposited into your wallet — there is no credit line, overdraft, or lending facility.

5.2 Funding

You may fund your wallet by sending USDC directly to your project's deposit address on the Base network, or by linking a bank account and initiating an ACH transfer through Stripe. ACH transfers are subject to processing times, verification requirements (including micro-deposit verification), and potential failure or reversal. You are responsible for ensuring sufficient funds in your bank account for any ACH transfers you initiate.

5.3 Transactions

Transactions initiated through the Service, whether by you directly or by an AI agent you have authorized, are your responsibility. Once a transaction is submitted for processing, it may not be reversible. ACH payments, USDC transfers, and x402 payments are subject to the rules and limitations of their respective networks and protocols.

5.4 Fees

The Service is offered under subscription tiers with varying features and limits. Subscription fees are billed through Stripe on a monthly basis. We may also charge transaction fees for certain operations. Current pricing is displayed on our website and is subject to change with reasonable notice. Blockchain network fees (gas fees) for on-chain USDC transactions are separate from Unwall fees and are determined by the Base network.

6. AI Agent Authorization and Responsibility

When you connect an AI agent to the Service via API key or MCP server, you are authorizing that agent to perform financial transactions on your behalf within the limits of your wallet balance and any configured restrictions. You acknowledge and agree that:

  • You are solely responsible for the actions of any AI agent you authorize, including any payments it initiates.
  • You are responsible for securing your API keys and preventing unauthorized access.
  • Unwall is not liable for any losses resulting from AI agent behavior, including unintended or erroneous transactions.
  • You should only fund your wallet with amounts you are prepared to have your agent spend.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Engage in money laundering, terrorist financing, sanctions evasion, or any other financial crime.
  • Process payments for illegal goods, services, or activities.
  • Attempt to circumvent security measures, rate limits, or access controls.
  • Interfere with or disrupt the Service or its infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to build a competing product or service.
  • Resell, sublicense, or redistribute access to the Service without our written consent.
  • Submit fraudulent bank account information or initiate unauthorized ACH transfers.

We reserve the right to suspend or terminate your access if we reasonably determine that you have violated this section.

8. API and MCP Server Usage

Access to our API and MCP server is subject to rate limits and usage quotas based on your subscription tier. You agree to:

  • Use the API and MCP server only for their intended purposes.
  • Not exceed the rate limits or usage quotas of your subscription tier.
  • Keep your API keys confidential and rotate them if you suspect they have been compromised.
  • Not share API keys publicly or embed them in client-side code.

9. Intellectual Property

The Service, including its design, code, documentation, branding, and all related intellectual property, is owned by Unwall and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of any data you submit to the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

We do not guarantee the value, stability, or availability of USDC or any blockchain network. We are not a bank, money transmitter, or financial institution, and the Service is not intended to be used as a substitute for professional financial advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNWALL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

This limitation applies to, without limitation: losses from transactions initiated by your AI agents, fluctuations in USDC value, failed or delayed ACH transfers, blockchain network congestion or outages, unauthorized access resulting from compromised API keys, and errors in third-party services (Circle, Stripe, or others).

12. Indemnification

You agree to indemnify, defend, and hold harmless Unwall and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) transactions initiated by your AI agents; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights.

13. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Upon termination:

  • Your right to use the Service will immediately cease.
  • We will make reasonable efforts to allow you to withdraw any remaining USDC balance from your wallets, subject to applicable legal requirements.
  • Provisions of these Terms that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will continue to apply.

14. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

16. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Unwall regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, acts of government, blockchain network outages, or third-party service disruptions.
